Kojam Fininvest fixes record date for merger with GCL

>Kojam Fininvest announced that, the Gujarat Glass (GGL) fixed October 06, 2007 as the record date for the purpose of scheme of arrangement and amalgamation of Kojam Fininvest (Q, N,C,F)* (KFL) with the company and their respective shareholders.

Accordingly, 93,17,000 equity shares of Gujarat Glass held by KFL shall stand cancelled and 1 equity share of Rs 10 each of Gujarat Glass will be issued to the shareholders of KFL for every 1 equity share of KFL held by them, as on the record date. Af ter this, the share capital of GGL shall stand increased from Rs 173 million to Rs 179.8 million.

In February 2007, the board of directors (BoD) approved the above merger scheme with GGL, an unlisted subsidiary of the company, engaged in the business of manufacturing Glass Containers. KFL holds 53.86% of the equity share capital of GGL.

As per the scheme, GGL will issue shares to shareholders of the company. KFL shares will get delisted and GGL shares will be listed.

Shares of the company declined Rs 0.25 , or 0.12%, to Rs 215.2. The total volume of shares traded were 16,642 at the BSE.(Friday ).
