    Reliance Power’s $3 billion initial public offer (IPO) is the fourth largest in the world this year. It will be the biggest in India, toppling the recent record held by DLF when it was launched on June 15 and was worth Rs 9,188 crore.

    Data sourced from Thomson Financial revealed that the Indian IPO volumes totalled Rs 39,621 crore from 70 issues in the first nine months, marking its highest on record and also toppling all full year IPO volumes previously.

    The largest IPO floated in the current calender year globally was by a Russia-based bank, OAO VTB Bank, valued at $7.99 billion. China Citic Bank floated the second largest IPO worth $5.95 billion, while Blackstone Group that mobilised $4.75 billion was the third largest.

    With the IPO mobilisation of $6.84 billion so far in the current calendar year, India is the seventh largest IPO market in the world with a 3.5 per cent market share - up from just 1.6 per cent in the corresponding period last year.

    If one adds the proposed $3 billion worth IPO of Reliance Power and $1.50 billion by Emmar MGF, the total IPO mobilization will cross $11.35 billion in the current calendar year. This will placed India at sixth position, after United Kingdom.

  2. The corporate headlines of this morning was about the likely IPO of Reliance Power Ltd., (RPL) an associate of Reliancy Energy Ltd. (REL). RPL, previously known as Reliance Energy Generation Co. Ltd., is promoted by REL and Reliance Anil Dhirubhai Ambani Group and it is expected that the RPL may divest 30% of its stake for about US $ 3.5 billion, equivalent to Rs.14,000 crores.
    This means that RPL is being valued at around Rs.47,000 crores. Does it really have so much value? Presently, equity capital of RPL is 100 crore equity shares, of which 50% is held by REL for value of Rs.100 crores. However, while going through the Balance Sheet of REL, it is found that 49,99,75,000 equity shares of Rs.2 face value of RPL, were allotted during FY 07, to REL while face value of RPL share has been stated at Rs.10 by REL. So, whether the face value of RPL share is Rs.2 or Rs.10, that is not clear. Also, another vexing question is - who holds the remaining 50% of RPL equity?
    RPL is presently executing following projects through its wholly owned subsidiaries:-
    1) Rosa Power Supply Co. Ltd. is executing a 600 MW coal based power project at Rosa in UP which would be expandable to 1,200 MW in Phase II.
    2) Maharashtra Energy Generation Ltd. is setting up a gas based 4,000 MW power project at Shahpur, in Maharashtra, about 85 km. from Mumbai on the Western Coast.
    3) 5,600 MW (Phase I) gas based power project at Dhirubhai Ambani Energy City at Dadri in U.P. with the ultimate capacity of 7,480 MW.
    4) 4,000 MW Sasan Ultra Mega Power Project at Sasan in M.P.
    So in all, 16,680 MW power generating capacities are being installed or created by RPL which would be operational in the next 5 to 7 years. If we presume a capital cost of Rs.4 crore per MW, the capex would be close to Rs.70,000 crores.
    Now the questions which need to be examined are :-
    1) Whether RPL would be a subsidiary of REL? If yes, to what extent?
    2) Whether RPL would be making a fresh issue? It is presumed to be so, then RPL would be able to raise Rs.14,000 crore. Does it mean that 70% stake would be giving any cash flow, which is issued for Rs.200 crore?
    3) Will RPL be raising its equity from present 100 crore equity shares, by issuing further equity to REL at the same price as issued to the public, to mobilize the funds to finance its Rs.70,000 crores capex.
    4) What will be the financing pattern of all these projects being undertaken by RPL?
    5) What will be status of gas supply agreement between RIL and RNRL as RNRL can only supply gas to REL for their power project for the generation of power? Since RPL will not be a wholly owned subsidiary of REL, can RNRL supply arrangement to RPL be tenable?
    6) Earlier many of these projects were to be implemented by REL but are now being executed by RPL. Why this transfer?
    Does this mean that all these projects were brought into RPL, mainly to enable REL, to mobilize money from the public and in turn improve the market capitalization of REL?
    Promoters’ holding in REL is as such is low at around 35%, and any further dilution would have put promoters in a precarious state. So, is RPL IPO a way to have higher stake in all new power projects, in favour of REL and Reliance ADAG Group?
    REL had total borrowing of Rs.5,858 crores as at 31-03-07 and had net current assets of Rs.9,837 crores which includes cash and bank balances of Rs.2,176 crores and loans and advances of Rs.8,943 crores (including inter-corporate deposits of Rs.7,740 cores). This means, REL had no surplus funds, on net off debt basis, to execute these mega power projects of Rs.70,000 crores, which are now being executed by RPL.
    So by raising money in RPL, the Reliance ADA Group is mobilizing fresh funds of close to Rs.14,000 crores and improving the market capitalization of REL, due to, about 51% stake of RPL to be held by REL.
    Does this also mean that Reliance ADAGp would have about 20% stake in RPL and they would also bring in matching contribution to finance these capex plans?
    Also, will RPL be a flagship energy company of Reliance ADAG in future and REL would remain a holding company of RPL with power generation of just close to 1,000 MW and power distribution and EPC business, including contracting and realty development.
    Unless we do a close scrutiny of the DRHP of RPL, which is likely to be filed very soon with SEBI, it would be difficult to justify the move of RPL to mobilize Rs.14,000 crores from public by diluting just 30% stake.

  3. Reliance Power, a company from Reliance Anil Ambani group stable, is expected to file its draft prospectus for the IPO next week. The IPO is aimed at part-financing its investment plan for setting up coal, gas and hydro power projects in the country.
    The company which recently secured the 4,000 MW Sasan power project from the government, is believed to be working on power projects totalling 25,000 MW.
    If things work out well, then the public issue will give RPL an initial market capitalisation of about Rs 800 billion and place the company among top 20 most valued firms listed on the domestic bourses.
    Shares of the Relaince Energy closed up Rs 88.25, or 7.9%, at Rs 1,205.50. The total volume of shares traded at the BSE was 3,538,681. (Friday).

  4. Anil Ambani-promoted Reliance Energy (REL) today announced that its wholly-owned subsidiary will go public soon. The company will file a draft red herring prospectus with the Securities and Exchange Board of India shortly.
    Reliance Power is expected to mop up $3.5 billion (Rs 14,000 crore) from the market, which will be the biggest public float in recent times after the issues by DLF and ICICI.
    The company plans to add 25,000MW capacity through new projects and expansion of capacity over the next couple of years. Much of the funds raised will be used for this purpose.
    Going by the market value of Rs 4 crore per MW of energy, the company is valued at Rs 100,000 crore, according to investment bankers.

    On the basis of this valuation, Reliance Energy will offload nearly 8% stake through the proposed IPO.
    The company is in talks with investment banks such as Kotak Mahindra Capital, JM Financial, J P Morgan, HSBC and Enam among several others. The company will appoint a separate banker to sell the issue overseas.
    A major portion of the funds raised will go into the 4,000MW Sasan coal-based power project which the company bagged recently. The plant, which is expected to be completed in five years, will supply power to Madhya Pradesh, Uttar Pradesh, Delhi, Rajasthan, Haryana, Punjab and Uttarakhand.
    REL had floated a special purpose vehicle, Sasan Power, to execute the project. The SPV was later merged with reliance power, a five-year-old company which has executed about 268MW.
    Explaining the higher investment in Sasan, a company executive said, “We are investing Rs 25,000 crore in a gas-based 7,000MW plant in Dadri, but since coal-based plants are costlier to set up, we are planning to invest Rs 20,000 crore for the 4,000 MW plant in Sasan.”
    The Reliance Anil Dhirubhai Ambani Group has a market capitalisation of over Rs 200,000 crore on the stock exchanges, a net worth in excess of Rs 40,000 crore, cash flow of Rs 9,000 crore, and net profit of Rs 5,000 crore with zero net debt.
    There are rumours floating in the market that Reliance Energy is about to file the draft red herring prospectus (DRHP) with SEBI. The shares of Reliance Energy touched an all time high today. RPL is a 51% subsidiary of Reliance Energy. Reliance Energy and the other reliance groups companies have witnessed a strong rally in their share prices in the past few trading days. It is tipped to be one of the largest IPO’s to hit the capital market and is expected to raise over 11,000 crores making it larger than the DLF IPO and the ICICI Bank FPO. When contacted, the Reliance Energy management declined to comment on the RPL saying as per the company’s policies they do not comment on market rumours.

  5. REL arm plans Rs 10 bn IPO

    >Reliance Energy`s (REL`s) wholly-owned subsidiary, Reliance Power (RPL), is planning to enter in the capital market by raising Rs 110 billion through initial public offer, reports Business Standard. This is considered to be the largest issue in recent times, after DLF and ICICI Bank.

    It is expected that the company will file a red herring prospectus with SEBI within a week.

    They would utilise the IPO money to meet the financial requirement of its existing projects as well as expansion. Recently, the company bagged the 4,000 MW coal-based Sasan project. The Sasan project is expected to be completed in five years. It will require 15 million tons of coal per annum and will supply power to seven States that are MP, UP, Delhi, Rajasthan, Haryana, Punjab and Uttarakhand.

    The news of the possibility of a public issue of RPL raised the share price of Reliance Energy, as the issue will increase the valuation of the company.

    Shares of the company gained Rs 88.25, or 7.9%, to trade at Rs 1,205.5. The total volume of shares traded was 3,538,681 at the BSE.(1.48 pm ,Friday)

  6. Reliance Power will sell a 10.1 per cent stake through an initial public offering that media reports have said could raise $2.8 billion, which would make it the country’s biggest IPO.

    They filed a prospectus with the regulator for the offer of 1.3 billion shares at a price to be determined through a book-building issue, Reliance Energy, a part of the Anil Dhirubhai Ambani Group, said in a statement on Wednesday.

    The group, which also has interests in telecom, financial sector and infrastructure, currently holds all the equity of the firm, half of it through Reliance Energy.

    The group was formed two years ago when the Reliance group was split between Mukesh Ambani, who controls Reliance Industries Ltd, and his brother, Anil.

    The issue will be managed by UBS, ABN-Amro, JPMorgan, Deutsche Equities, Enam securities and Kotak Mahindra Capital, while Macquarie India and SBI Capital Markets would be co-managers, the statement said.

    They plans to use the funds from the issue to build power plants in different parts of the country.

    In July, real estate firm DLF Ltd raised $2.25 billion in biggest IPO to date.

    IPO volumes in India totalled $6.8 billion from 70 issues in the first nine months of 2007, topping all full-year IPO volumes previously, according to data from Thomson Financial.

    India is now the seventh-largest IPO market with a 3.5 per cent share of the global market, up from 1.6 per cent in the same period last year, the data showed.

    Last week, real estate firm Emaar MGF Lnd, in which Dubai’s Emaar Properties has a stake, said it was planning an IPO, which bankers say may raise about $1.5 billion.

    This year, top private bank, ICICI Bank raised $4.9 billion in a secondary share sale, while HDFC Bank raised $698 million by selling American Depository Shares.

    Reliance Energy’s shares closed 7.5 per cent up in the Mumbai market, outperforming the benchmark index, which closed 3 per cent higher on Wednesday after hitting a record high for the 10th consecutive session.
